Terms of Service

Please read these terms carefully before using schedull. By accessing or using our service you agree to be bound by them.

1

Acceptance of terms

By creating an account or otherwise accessing schedull (the "Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Service. These terms constitute a legally binding agreement between you and schedull. If you are using the Service on behalf of a school or organisation, you represent that you have authority to bind that organisation to these terms.

2

Description of service

schedull is a web-based software-as-a-service platform that enables teachers, administrators, and educational institutions to define school configurations, including classes, subjects, teachers, schedules, and constraints; and automatically generate conflict-free weekly timetables. The Service is provided over the internet and does not require any local installation. Features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3

Eligibility

You must be at least 16 years of age to use the Service. By using schedull you represent that you meet this requirement. The Service is intended for professional and educational use by individuals acting in their capacity as school staff, administrators, or authorised representatives of educational institutions. Use by minors for personal non-educational purposes is not permitted.

4

User accounts

Access to schedull requires authentication through Auth0, including Google sign-in when enabled. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorised access to your account. We are not liable for any loss or damage arising from your failure to keep your credentials secure. Each account is personal and may not be shared with or transferred to another individual without our prior written consent.

5

Subscription plans and billing

schedull offers both a free tier and paid subscription plans. Paid subscriptions are processed securely through Stripe. By subscribing to a paid plan, you authorise us to charge the applicable fees to your payment method on a recurring basis (monthly or annually, depending on your selection). All prices are stated exclusive of applicable taxes unless otherwise indicated. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period and no partial refunds are issued for unused time. We reserve the right to change pricing with at least 30 days' notice to active subscribers.

6

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these terms. You must not: use the Service in any way that violates applicable local, national, or international laws or regulations; attempt to gain unauthorised access to any part of the Service or its underlying infrastructure; reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; use automated tools, bots, or scripts to access or interact with the Service in a manner that places an unreasonable load on our infrastructure; upload or transmit any malicious code, viruses, or harmful content; or use the Service to infringe the intellectual property rights of any third party.

7

Intellectual property

The Service, including its design, code, algorithms, interfaces, and all content created by schedull, is owned by schedull and protected by applicable intellectual property laws. These terms do not grant you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal educational or administrative purposes during the term of your subscription. The schedull name, logo, and brand elements are trademarks of schedull and may not be used without our prior written consent.

8

Your data

You retain full ownership of the timetable data, projects, and content you create within the Service ("User Content"). By using the Service you grant schedull a limited licence to store, process, and display your User Content solely to the extent necessary to provide the Service to you. We do not claim any ownership over your User Content and will not use it for any purpose beyond operating and improving the Service. Upon termination of your account, your User Content will be deleted in accordance with our Privacy Policy. You are solely responsible for ensuring that any personal data you input, such as teacher or student names, is handled in accordance with applicable data protection laws.

9

Third-party services

The Service integrates with third-party providers including Google (when you choose Google sign-in), Stripe (for payment processing), and infrastructure providers used to host the application and databases. Your use of these integrations is also governed by the respective third-party terms and privacy policies. We are not responsible for the practices, availability, or content of any third-party services. Links to third-party websites from our platform do not constitute our endorsement of those sites.

10

Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated timetables will meet every specific requirement of your institution. To the maximum extent permitted by law, schedull shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claims arising under or related to these terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

11

Termination

You may terminate your account at any time by contacting us at [email protected] or through your account settings. We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, if we reasonably believe you have violated these terms or if your account poses a risk to the security or integrity of the Service. Upon termination, your right to use the Service ceases immediately. Sections of these terms that by their nature should survive termination, including intellectual property rights, limitation of liability, and dispute resolution, will continue to apply after termination.

12

Changes to these terms

We may update these terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will notify you by email and update the date at the bottom of this page. Your continued use of the Service after the effective date of any revised terms constitutes your acceptance of those changes. If you do not agree to the revised terms, you must stop using the Service and cancel your subscription before the changes take effect.

13

Governing law

These terms are governed by and construed in accordance with applicable law. Any disputes arising in connection with these terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of the territory in which schedull is registered. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14
